Terms of Service

1. Acceptance of Terms

By accessing or using communily.app (the “Platform”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Platform. Communily LLC (“Communily,” “we,” “us,” or “our”) may update these Terms at any time. Continued use after changes constitutes acceptance.

2. Who May Use the Platform

You must be at least 13 years old to use the Platform. If you are under 18, you represent that you have your parent or guardian's permission. By creating an account, you represent that the information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at communily.support@gmail.com if you believe your account has been compromised. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Your Content

You retain ownership of content you submit to the Platform, including organization profiles, event descriptions, announcements, and photos (“User Content”). By submitting User Content, you grant Communily a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content solely as necessary to operate the Platform.

4.2 Content Standards

You agree not to post content that:

  • Is unlawful, harassing, defamatory, or discriminatory
  • Infringes any third-party intellectual property rights
  • Contains malware, spam, or deceptive material
  • Violates your university's student organization policies

4.3 Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful to users or the Platform.

5. Prohibited Conduct

You agree not to:

  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Scrape, crawl, or harvest data from the Platform without written permission
  • Use the Platform to send unsolicited commercial messages
  • Impersonate another person or organization
  • Interfere with or disrupt the operation of the Platform

6. Student Organization Officers

If you create or manage a student organization group on the Platform, you represent that you are authorized to act on behalf of that organization. You are responsible for ensuring that your organization's use of the Platform complies with your institution's policies and these Terms.

7. Institutional Accounts

Universities and educational institutions accessing the Platform under an institutional license — including as part of a founding pilot program — are subject to the terms of their applicable Master Service Agreement (“MSA”) in addition to these Terms. Institutions may be provided a branded subdomain (e.g., yourschool.communily.app) for their affiliated organizations; use of that subdomain is governed by these same Terms. In the event of a conflict between the MSA and these Terms, the MSA controls.

8. Merchandise and Preorders

Student organizations may list merchandise items and accept preorders through the Platform. Preorders are agreements between the buyer and the student organization — Communily is not a party to those transactions and does not process payments. Payment and fulfillment terms are set by each organization. Communily is not responsible for any dispute arising from a preorder transaction.

9. Third-Party Services

The Platform integrates with third-party services (e.g., Google Calendar for scheduling availability, OpenStreetMap/Nominatim for address lookup). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

10. Intellectual Property

The Platform and its original content (excluding User Content) are the property of Communily LLC and are protected by applicable copyright and trademark law. You may not copy, reproduce, or distribute any part of the Platform without our prior written consent.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMUNILY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

13. Indemnification

You agree to indemnify and hold harmless Communily LLC, its officers, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Platform at any time for any reason, including violation of these Terms, with or without notice. Upon termination, your right to use the Platform ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hennepin County, Minnesota. You waive any objection to jurisdiction or venue in such courts.

16. Changes to These Terms

We may modify these Terms at any time. We will provide reasonable notice of material changes by updating the Effective Date above and, where appropriate, notifying users via the Platform or email. Your continued use constitutes acceptance.
